Software License
Agreement.

This agreement applies to all software products and demos published by Elsewave unless a product is accompanied by separate license terms. If separate terms are provided, those terms control for that product.

1. Acceptance

By downloading, installing, purchasing, activating, or using Elsewave software, you agree to this agreement. If you do not agree, do not install or use the software.

2. License grant

For each valid purchase, Elsewave grants the purchaser a personal, limited, non-exclusive, non-transferable license to install and use the software on computers owned or controlled by that purchaser. The license is for one individual user unless the product page or purchase receipt expressly states otherwise.

3. Music and rendered output

You may use the software for personal and commercial music production, sound design, performance, recording, broadcasting, and audiovisual work. You may distribute and monetize music and other rendered audio created with the software without paying royalties to Elsewave.

4. Restrictions

You may not share, sell, sublicense, rent, lease, publish, upload, or redistribute the software, installers, license keys, or license files. You may not make the software available to another person as a standalone product or service. You may not remove proprietary notices, bypass license enforcement, or reverse engineer, decompile, or modify the software except where applicable law expressly permits it.

5. Demo software

Demo versions are provided for evaluation. They may contain time limits, periodic audio interruptions, disabled functions, or other restrictions. Demo restrictions may not be circumvented. Projects and audio created while legitimately using a demo remain yours, subject to the other terms of this agreement.

6. Ownership

The software is licensed, not sold. Elsewave retains all rights, title, and interest in the software, its code, interface, documentation, artwork, trademarks, and related materials. This agreement does not transfer ownership of those materials to you.

7. Updates and support

Elsewave may provide updates, maintenance, or support at its discretion. A purchase does not guarantee future features, compatibility with every operating system or host, or support for a particular period unless the product page expressly promises otherwise.

8. Refunds

Purchases and refunds are handled through the store where the product was purchased and are subject to the refund terms shown at checkout, together with any rights required by applicable law.

9. Disclaimer of warranties

To the fullest extent permitted by law, the software is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Elsewave does not warrant that the software will be uninterrupted, error-free, or compatible with every system.

10. Limitation of liability

To the fullest extent permitted by law, Elsewave will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost data, revenue, profits, or business opportunities arising from the software. Elsewave’s total liability relating to a product will not exceed the amount you paid for that product during the twelve months before the claim.

11. Termination

This license ends automatically if you materially breach this agreement. Upon termination, you must stop using the software and delete all copies in your possession or control. Sections that by their nature should continue after termination will remain in effect.

12. General terms

If any provision is found unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. Elsewave may update these terms for future downloads or purchases; the version presented when you obtained your license governs that license unless a change is required by law or you agree to revised terms.
